Terms of service

These Terms govern your use of Bryl (the iOS app) and bryl.app (the marketing website). By using either, you agree to these Terms. If you do not agree, do not use Bryl.

1. Who we are

Bryl is a product of Roushan, Inc., a Delaware corporation. References to “we,” “us,” or “Bryl” mean Roushan, Inc.

2. Who can use Bryl

Bryl is sold for use by licensed mental-health professionals (psychotherapists, psychologists, counselors, clinical social workers, marriage and family therapists, and equivalent licensed roles in your jurisdiction) and by graduate-level trainees under supervision. You are responsible for confirming that your use of an AI-assisted scribe is permitted by your licensing board, ethics body, professional liability insurer, and applicable law.

3. License

We grant you a personal, non-transferable, non-exclusive license to install and use Bryl on iOS devices that you own or control, for the duration of your active subscription or lifetime entitlement. The full app license terms are governed by the End User License Agreement.

4. Subscriptions and billing

All purchases are made through Apple's App Store. Apple sets the prices in your local currency, processes payment, manages renewals, and processes refunds. You can manage or cancel your subscription in Settings → Apple ID → Subscriptions on your iPhone. Refund requests go to Apple at reportaproblem.apple.com.

Lifetime entitlements are non-refundable except via Apple's discretion. We do not bill you outside the App Store; we do not see your card or Apple ID.

5. Your professional responsibility

Bryl drafts notes from audio you record with informed client consent. You are responsible for: obtaining and documenting client consent before recording; reviewing and editing every draft for clinical accuracy before signing; signing and storing the final note in your system of record (typically your EHR); and complying with all applicable laws, board rules, and ethical codes that govern your practice.

Bryl is a drafting tool, not a clinical decision-making system. The signed note is yours and your responsibility.

6. Privacy and data

Bryl is built on privacy by architecture: your audio, transcripts, and notes never leave your device. We never receive Protected Health Information. We do not act as your Business Associate under HIPAA because we do not receive your PHI; we provide an architectural attestation describing this in detail.

7. Acceptable use

You agree not to:

• Use Bryl to record any conversation without the informed consent of every party recorded, where consent is required by law in your jurisdiction.
• Reverse-engineer, decompile, or attempt to extract the on-device model weights or proprietary code shipped with the app.
• Resell, rent, sublicense, or transfer your Bryl license to a third party.
• Misrepresent yourself or your credentials when registering for the closed beta.

8. Disclaimers

Bryl is provided “as is.” To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that transcription will be free of errors. The note draft is meant to be reviewed and edited by you, the licensed professional.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to Bryl shall not exceed the greater of (a) the amount you paid to Apple for Bryl in the twelve months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, profits, data, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Roushan, Inc. and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of Bryl, your violation of these Terms, or your violation of any law or third-party right (including a client's privacy or confidentiality rights) in connection with your use of Bryl.

11. Changes

We may update these Terms. If we make material changes, we will update the effective date at the top and show an in-app notice describing what changed. Continued use after the change constitutes acceptance of the updated Terms.

12. Termination

You may stop using Bryl at any time by uninstalling the app and canceling your subscription with Apple. We may suspend or terminate your access if you materially breach these Terms. Provisions that by their nature should survive termination (Sections 5, 6, 8, 9, 10) shall survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Wilmington, Delaware, except that we may bring an action for injunctive relief in any court of competent jurisdiction. If you are a consumer, this clause does not deprive you of mandatory consumer protections in your jurisdiction.
