End User License Agreement

This End User License Agreement (“EULA”) is between you and Roushan, Inc., the licensor of Bryl (the “App”). By installing or using the App, you agree to this EULA. If you do not agree, do not install or use the App.

1. License grant

Subject to your compliance with this EULA, we grant you a personal, non-transferable, revocable, non-exclusive license to install and use the App on iOS devices that you own or control, for personal or professional use within your therapy practice, for the duration of your active subscription or lifetime entitlement.

2. Restrictions

You shall not:

  • Copy the App except for normal iOS device backups.
  • Modify, adapt, translate, reverse-engineer, decompile, disassemble, or attempt to derive the source code, model weights, or other internals of the App, except to the limited extent applicable law expressly permits.
  • Rent, lease, sublicense, lend, sell, redistribute, or otherwise transfer the App or any of its content to a third party.
  • Remove, alter, or obscure any proprietary notices in or on the App.

3. Apple App Store terms

This EULA is between you and Roushan, Inc. only — not Apple. Apple is not responsible for the App or its content. The following Apple-specific terms apply:

  • Acknowledgment. You and Roushan, Inc. acknowledge that this EULA is concluded between you and Roushan, Inc. only, and not with Apple. Roushan, Inc., not Apple, is solely responsible for the App and its content.
  • Scope of license. The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Apple Media Services Terms.
  • Maintenance and support. Roushan, Inc. is solely responsible for any maintenance and support services. Apple has no obligation to provide maintenance or support.
  • Warranty. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App. To the maximum extent permitted by law, Apple has no other warranty obligation. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform are governed by this EULA.
  • Product claims. Roushan, Inc. is responsible for addressing claims by you or any third party relating to the App or your use of it, including (i) product liability claims, (ii) claims that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer-protection or similar legislation.
  • Intellectual property. If a third party claims the App or your possession and use of the App infringes that third party's intellectual property rights, Roushan, Inc. is solely responsible for the investigation, defense, settlement, and discharge of such claim.
  • Legal compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not on any U.S. Government list of prohibited or restricted parties.
  • Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

4. Privacy

Use of the App is subject to our Privacy Policy. The App is built on a privacy-by-architecture model: your audio, transcripts, and notes never leave your device.

5. Term and termination

This EULA is effective until terminated by you or by us. Your rights under this EULA terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and destroy all copies in your possession or control.

6. Disclaimers and limitation of liability

The App is provided “as is” without warranty of any kind. The disclaimers and limitations of liability set forth in our Terms of Service apply to this EULA and are incorporated by reference.

7. Governing law

This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, except that mandatory consumer-protection rules of your country of residence may apply.
